TERMS OF SERVICE – E-RESIDENT.STORE

These Terms of Service ("Agreement") govern your use of the Sunio website and the services provided by Sunio and its group companies. By accessing the website or using any services, you agree to be bound by these Terms & Conditions. If you do not agree, you may not use the website or our services.

 

General Information
 

1.1. This website is operated by Sunio Group OÜ (reg. code 11430407). Throughout this document, the terms “we,” “us,” and “our” refer to Sunio Group OÜ and its group companies operating under the registered trademark Sunio (hereinafter referred to as "Sunio").
 

1.2. Group Companies & Services Provided


The following group companies provide services under the Sunio brand:

Sunio OÜ (reg. code 10116749, VAT ID EE100444702) – Accounting, tax, trust funds, corporate, juridical, Authorized Contact Person, legal address and virtual office services.

E-Resident Store OÜ (reg. code 12490601, VAT ID EE102411092) – Authorized Contact Person, legal address and virtual office services for e-resident companies.

1.3. Services listed on this website are provided by the respective Sunio group companies, as specified in the service description. By purchasing a service, you acknowledge that you are engaging directly with the respective company. Sunio Group OÜ does not provide services itself unless explicitly stated in the service description.

2. Acceptance of Terms

2.1. By accessing or using our website or services, you agree to comply with these Terms & Conditions.

2.2. If you do not agree to all provisions of these Terms, you may not use the website or services.

2.3. We reserve the right to update or modify these Terms & Conditions at any time by posting changes on our website. It is your responsibility to check for updates periodically. Your continued use of the website or services constitutes acceptance of any changes.

3. Use of Services

3.1. Eligibility

You must be at least the age of majority in your country of residence or represent a legal entity.

You may not use our services for illegal or unauthorized purposes.

You must comply with all applicable laws and regulations.

3.2. Service Access & Client Responsibilities

You are responsible for maintaining accurate account information and complying with all legal requirements applicable to your business.

You must provide the necessary documentation for compliance with Know Your Customer (KYC), Know Your Transaction (KYT), and Know Your Business (KYB) regulations as required.

Failure to provide any requested compliance documents may result in service denial.

3.3. Additional Terms for Specific Services

In addition to these Terms & Conditions, each individual service may have its own specific terms and conditions described on our website.

By purchasing or using a specific service, you agree to be bound by the additional terms set forth for that service, which together with these Terms & Conditions form the binding contract between you and the respective Sunio group company.

3.4. Communication & Support

All client communication is conducted via email for quality assurance and compliance reasons.

Our customer support and accountants do not provide phone, video, or in-app messaging support.

Customer support inquiries can be directed to support@sunio.ee, and responses are typically provided within 1-3 business days.

3.5. Services for Entities Not Yet Registered

If you sign up for our services on behalf of a legal entity that has not yet been entered into the Estonian Business Register, the entity shall be deemed a party to this agreement from the date it is officially registered.

If you purchase our company registration assistance service for an Estonian private limited company (OÜ) or non-profit organization (MTÜ), but the entity is not yet registered, you remain personally responsible for the contractual obligations until either:

The entity is successfully registered in the Estonian Business Register, or

The service is cancelled prior to registration.

3.6. Compliance with Estonian Legislation

We undertake to provide services to your entity in accordance with the service plan you have chosen and in compliance with the legislation of the Republic of Estonia.

Our commitment to fulfilling legal and regulatory obligations is strictly dependent on the correct and timely submission of accounting documents and information by the customer.

We shall not be held liable for any non-compliance with Estonian laws or tax regulations if it results from the customer's failure to provide accurate, complete, and timely documentation or information.

4. Accounting & Tax Services

4.1. Accounting Platform & Document Submission

Your accounting records will be maintained in SmartAccounts. You may create and send sales invoices through this system unless billing is handled via a third-party platform and is verified by us.

 

Purchase invoices and receipts must be submitted via the Envoice app by the 5th of each month .

Contracts, bank account statements, and payment gateway reports must be emailed to our accounting team by the 5th of each month (accounting@sunio.ee).

You must enable us with user access to your third-party services—primarily banking, payment services, marketplace platforms, and tax reporting services—to facilitate accounting and compliance processes.

Wherever possible, you must enable automatic data exchange between these services and our system via interfaces, XML, or API integration to ensure efficiency and accuracy.

For the monthly accounting service, Sunio processes the client's accounting documents and transactions of a given calendar month in the following calendar month. Service fees are billed for the calendar month in which Sunio performed the services, not for the calendar month or the year when the accounting documents and transactions occurred.

Sunio performs the client's accounting following the Estonian Financial Reporting Standard and the Accounting Act. Tax services are performed following the tax laws applicable in Estonia.


4.2. Tax Reporting

We will set up your account with the Estonian Tax and Customs Board for tax reporting and tax account adjustments. You grant us with necessary authorisations.

Taxes are reported monthly, quarterly or yearly, according to Estonian tax laws your business profile, your transactions and your subscribed services.

4.3. Document Storage & Retrieval

As part of our accounting service and service plans, we store digital copies of your submitted accounting documents for the duration of your service subscription and for two (2) months after the subscription ends.

After this two-month period, all stored documents will be permanently deleted, unless we are legally required to retain them.

According to the law, the obligation to retain an entity's accounting documents lies with the client's management board.


If you wish to obtain copies of your submitted documents and accounting ledgers, also the user accounts to the accounting- and expense document system at the end of your accounting service, we can provide access to these for an additional service charge.

Upon request, we will provide you with a temporary user account to download your documents. If technical limitations prevent this, the files will be delivered as digital downloads.

5. Subscription Plans & Payment Terms

5.1. Subscription Billing

Certain services are billed on a monthly or annual subscription basis.

The first billing month is the month of purchase, regardless of the date of purchase.

Subscription renewals continue until cancelled.

5.2. Payment Methods

- Payments are accepted in Euro (€) via:
- Major credit cards
- Wire transfers (invoice-based)
- SEPA Direct Debit
- PayPal

Payment processing services are provided by Stripe and PayPal.

5.3. Overdue Payments & Service Termination

If a payment fails, we reserve the right to pause or terminate services without prior notice.

Any unpaid amounts may be recovered from the Client's Estonian tax account balance.

We reserve the right to apply a late payment interest of 0.25% per each day of delay on overdue payments.

5.4. Service Plan Adjustments

If your company profile changes and no longer meets the requirements of your current service plan, we reserve the right to upgrade you to the most appropriate service plan that matches your changed business profile.

If we discontinue a service plan, we will migrate you to the closest available plan that aligns with your service needs.

 

You will be notified of any plan changes, and if you do not agree with the new plan, you may terminate your subscription within 30 days of receiving the notice.

If you continue using the service after 30 days, it will be considered as acceptance of the updated service plan.


Service changes, including modifications to service fees, may be introduced and published without prior notice. It is your responsibility to regularly check our website for updates regarding service terms and pricing.

5.5. Recurring Services & Payments

Several of our services are recurring subscriptions by nature. These may include, but are not limited to:

- Monthly accounting and tax services
- Payroll services
- Monthly or yearly legal address and contact person services
- Virtual office services
- Yearly closing of the fiscal year service, including the preparation of the annual report

If you purchase any of these services, it is considered a recurring subscription, and you will be billed on a monthly and/or yearly basis until the subscription is terminated.

Recurring payments will be processed using the same billing method as your initial purchase unless otherwise agreed in writing.

By subscribing to our services, you acknowledge that certain additional services and charges may not be included in the base subscription and may be billed separately. You authorize us to invoice you for additional services and charge your payment method for any such additional services as applicable.

You agree that we are not obligated to notify you in advance of any additional charges applied to your subscription.

6. Refund & Termination Policy

Once a service has commenced or been used, no refunds are provided.

If a purchased service cannot be provided due to compliance restrictions, we may apply a charge on refund.

Payments made for the company registration service are non-refundable if the client fails to provide the necessary documents or does not complete the registration process.

6.2. Service Termination

You may terminate your subscription by notifying support@sunio.ee.

If termination is allowed through your user account, you may cancel the service online.

We reserve the right to refuse or terminate service to any client at our sole discretion, at any time, and for any reason, including but not limited to non-compliance with these Terms & Conditions, legal or regulatory concerns, or business-related decisions.

If a service is terminated due to violations of our Terms, no refunds will be issued.

7. Prohibited Activities

You may not use our website or services for:

Any illegal or unauthorized purpose, including violations of tax laws, anti-money laundering laws, counter-terrorism laws, counter-proliferation (mass destruction) laws, and international sanctions laws.
Any illegal activities or violations of intellectual property rights.

Any business activity that is not supported by us, as outlined on our website.

Any transactions with parties that are under international sanctions.

Harassment, abuse, defamation, or discrimination.

Spreading viruses or malicious code.

Fraudulent or misleading activities.

Violations may result in immediate service termination and potential legal action.

8. Limitation of Liability

Sunio does not guarantee uninterrupted or error-free service.

We shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use of our services.

Our total liability shall be limited to the amount paid for the service within the last 2 months.

9. Governing Law

These Terms & Conditions are governed by the laws of the Republic of Estonia. Any disputes shall be settled in Estonian courts.
